These Terms and Conditions ("Terms") govern access to and use of nectar3pl.com and any website features, forms, or content made available by Nectar 3PL, LLC dba Nectar Logistics ("Nectar," "we," "us," or "our"). By accessing or using the website, you agree to these Terms. If you do not agree, do not use the website.
These Terms govern website use only. They do not create a warehousing, fulfillment, or other service relationship and do not replace the written Nectar Logistics Agreement and its exhibits. If a signed agreement conflicts with these Terms, the signed agreement controls for the applicable client relationship.
1. Who We Are
Nectar 3PL, LLC dba Nectar Logistics is a Nebraska limited liability company with its principal office at 8795 F Street, Omaha, NE 68127. We provide third-party logistics services, including warehousing, receiving, storage, order fulfillment, distribution, and returns processing for business clients.
2. Eligibility and Authority
The website is intended for individuals who are at least 18 years old and for representatives of businesses. If you use the website on behalf of a company or other organization, you represent that you have authority to act for that organization and to provide the information you submit.
3. Use of Our Website
3.1 Permitted Use
You may use the website to learn about our services, request information or a quote, and contact us. You must use the website only for lawful purposes and in a manner that does not infringe another person's rights or interfere with the website.
3.2 Prohibited Conduct
Attempting to gain unauthorized access to systems, networks, accounts, or data

Submitting an inquiry, quote request, contact form, or onboarding information does not create a binding service relationship. A service relationship begins only when Nectar and the client execute a written agreement. Website descriptions, estimates, capabilities, service levels, availability, and sales communications are general information and may change. Actual pricing, services, and obligations are stated in the applicable signed agreement and exhibits.
5. Privacy and Electronic Communications
Our Privacy Policy explains how we collect, use, disclose, and safeguard information and is incorporated into these Terms by reference. When you submit contact information, you authorize us to respond electronically or by telephone regarding your request. Marketing communications remain subject to applicable law and the opt-out choices described in our Privacy Policy. Electronic communications satisfy any requirement that communications concerning website inquiries be in writing, except where applicable law requires otherwise.
6. Intellectual Property
The website and its content, including text, graphics, photographs, designs, logos, trademarks, and software, are owned by or licensed to Nectar and protected by applicable law. Specific commitments regarding warehousing, fulfillment, accuracy, processing times, insurance, or service levels apply only as stated in a signed agreement with Nectar.
9. Limitation of Liability
To the fullest extent permitted by law, Nectar and its members, officers, employees, contractors, and agents will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities, arising from or related to website use. Nectar's total liability arising from website use will not exceed one hundred dollars ($100). These limitations do not apply where prohibited by law. Liability arising from services performed under a signed agreement is governed exclusively by that agreement.
10. Indemnification
You agree to defend, indemnify, and hold harmless Nectar and its members, officers, employees, contractors, and agents from claims, damages, liabilities, losses, and reasonable attorneys' fees arising from your unlawful or unauthorized use of the website, your violation of these Terms, or your infringement of a third-party right. This section does not apply to the extent a claim results from Nectar's own unlawful conduct.
11. Governing Law and Venue
These Terms are governed by Nebraska law, without regard to conflict-of-laws principles. Any dispute arising from these Terms or website use that cannot be resolved through direct discussion will be subject to the exclusive jurisdiction of the state and federal courts located in Douglas County, Nebraska, and each party consents to that jurisdiction and venue.
12. Changes to the Website or These Terms
We may modify or discontinue website features and may update these Terms from time to time. Revised Terms take effect when posted with a new effective date unless a later date is stated. Your continued use of the website after the effective date means you accept the revised Terms.
13. General Provisions
If a provision is unenforceable, it will be enforced to the greatest extent permitted and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without Nectar's consent; Nectar may assign them in a merger, reorganization, or asset sale. These Terms and the Privacy Policy are the entire agreement concerning website use. Headings are for convenience only.
